Welcome to Nexlotech! These Terms and Conditions govern your use of our website (www.nexlotech.com) and our services. By accessing or using our services, you agree to comply with these terms.

1. Introduction

These Terms and Conditions set forth the rules and guidelines for the use of Nexlotech’s website and services. If you do not agree to these terms, please do not use our website.

2. Services & Eligibility

Nexlotech provides web design, Shopify development, WooCommerce solutions, SEO, and hosting services.
All estimates/quotes are based on our understanding of your requirements and the given timeframe. Any changes, including micro-improvements, may incur additional costs. Please ensure and clarify our understanding in a meeting.
Clients must ensure that all requirements are included in quotes/proposals and that Nexlotech fully understands their requirements.
Any complexity related to specific tasks must be advised in advance and included in the proposal for costing purposes.
Limited man-hours are allocated per task, including project management and strategy.

3. Payment & Refund Policy

Payments for services must be made upfront or as per the agreed contract.
Any additional work, over and above the estimates, is charged separately.
Refunds are issued only if Nexlotech fails to deliver the agreed-upon services.

4. Project Scope & Responsibilities

Any delays at the client’s end may result in project delays and additional costs.
Any bugs (programming errors) reported during or immediately after development do not attract additional charges.
Any rework on an already completed task, design changes post-approval, or modifications after Go-Live approval will incur additional costs.
All content and materials must be provided within the first two weeks of the project commencement to avoid delays and additional charges.
Nexlotech tests websites/applications on recent versions of major browsers and devices. If additional testing is required, it must be discussed in advance.
If hosting is not on Nexlotech servers, additional hours required for troubleshooting due to third-party server issues will be charged separately.

5. Intellectual Property & Hosting

Nexlotech software codes (except open-source software) remain its copyright property.
Source codes can be handed over at an additional cost after all invoices are settled and are for the client’s exclusive use only.
Nexlotech CMS is proprietary and cannot be transferred to external hosting.
Third-party components such as SSL certificates, payment gateways, or API integrations are not included in standard pricing unless stated.
Clients are responsible for updating third-party software, including WordPress and plugins.
Nexlotech is not liable for open-source vulnerabilities and suggests regular backups.

6. Delays, Hosting & Domain Services

Delays beyond two calendar months may incur administrative costs.
Hosting charges are not included unless specified. Nexlotech offers hosting solutions, quoted separately.
Clients opting for third-party hosting should consult Nexlotech before finalizing to ensure compatibility.
Nexlotech will not be liable for errors or delays caused by third-party hosting providers.
Websites are built and tested on Nexlotech’s servers. Client access to test servers is restricted.
Domain registration/renewal charges are separate unless stated in the agreement.

7. Third-Party Policies & Disclaimers

Changes to third-party provider rules and policies may impact services provided by Nexlotech.
Nexlotech will not be liable for unforeseen limitations of third-party software or services.
The client acknowledges that third-party software integration may cause development delays, and Nexlotech will not be penalized for such delays.

8. Basic Annual Maintenance Package Terms

All maintenance packages are for a minimum of 12 months.
Packages are billed annually but paid monthly via direct debit on the 1st of each month.
Includes 12 months of basic website hosting, email hosting, and DNS hosting.
Designed for website maintenance tasks only; cannot be used for full redesigns or major functionality add-ons.
Excludes Digital Strategy, Business Analysis, SEO, and Digital Marketing.
Work-hours tracked in 15-minute blocks; used for CMS and plugin updates, backups, and minor changes.
Fair use policy applies; unused hours do not roll over but are sometimes flexibly adjusted.
Extra hours are billed at $77/hour incl. GST.
Support requests must be emailed to support@nexlotech.com.
Urgent tasks are charged separately.
Auto-renews annually unless canceled in writing one month before renewal.

9. Payment Terms

Maintenance fees require credit card payment only; no other payment methods accepted.
Fees charged on the 1st of each month.
Late payments incur a $25 fee; more than three missed payments may result in package termination.
No refunds on maintenance package fees.

10. Termination

Clients must notify in writing at least one month before annual renewal to cancel.
Clients terminating mid-term must pay the balance for the remaining months.
Nexlotech reserves the right to terminate services with notice.

11. Governing Law & Disputes

These terms shall be governed by the laws of India.
Any disputes will be resolved through arbitration in Kerala, India.
